The verdict: A coin flip, with Black Panther by a hair
Fight rules: both fighters at their peak, no preparation, no allies, only their own powers and personal gear. A win is a knockout, a restraint they can't escape, or a forced surrender. The percentages are fan estimates, not official information.
Spider-Man's edge
Stronger by a wide margin, and spider-sense defeats his stealth.
Black Panther's edge
Enhanced senses from the heart-shaped herb, a vibranium suit that soaks up kinetic force (Spidey's punches included), mastery of many fighting styles, and a strategist who prepares for everyone.

Who is Black Panther?
T'Challa is the king of Wakanda, an African nation built on the world's only great deposit of vibranium, and its warrior protector, the Black Panther. He won the title by defeating every challenger in ritual combat and ate the heart-shaped herb, which heightens his strength, speed and senses. A scientific genius and master strategist, he joined the Avengers in 1968 and has been one of the team's most important members ever since. His vibranium suit absorbs the force of a blow, and his planning makes him a match for anyone.
